LinkEase LLC – Terms & Partner Agreement

1. Introduction

Welcome to LinkEase LLC (“LinkEase”, “we”, “us”, “our”). By using the LinkEase platform, including the interactive map, app, and related services (the “Services”), you agree to these Terms of Service (“Terms”).

These Terms also include the Partner Agreement for businesses or individuals joining as a Partner on LinkEase.

2. Definitions

• User: Any individual or family using LinkEase to discover family-friendly places.

• Partner: Any business, hub, camp, coliving space, retreat, or other place listing on LinkEase through our Partner Program.

• Marker: A visual indicator on the map representing a Partner.

• Basic / Premium / PRO Marker: Different levels of partnership with corresponding features and fees.

3. Acceptance of Terms

By creating an account, using the Services, or completing a payment via Stripe, you confirm that:

1. You have read and agree to these Terms.

2. You accept the Partner Agreement if you are registering as a Partner.

3. You are legally able to enter into a binding agreement.

4. Partner Agreement (for Partners Only)

By registering as a Partner, you agree to the following:

4.1 Eligibility

• Only family-friendly and educational spaces, camps, coliving spaces, retreats, and similar places are eligible.

• You must provide truthful and accurate information about your place.

4.2 Marker Plans & Fees

• Basic Marker: Fixed annual fee ($199/year), provides map visibility and basic profile.

• Premium Marker: $0 upfront + 5% commission to LinkEase LLC per successful booking via LinkEase; Partners provide 10% discount to Premium Members using a booking code.

• PRO Marker: Full access to all features, without any commission, but with mandatory perks for Premium Users. The choice of perks is at the Partner’s discretion but must be offered to all Premium Members.

Commission & Booking Details for Premium Plan:

• Premium Members receive 10% off when using or mentioning the Partner’s code at booking.

• A booking is considered “via LinkEase” if the code is applied.

• Commission of 5% to LinkEase LLC applies to all bookings made via LinkEase codes.

• Partners must report, unprompted, the number of bookings via LinkEase codes quarterly, on the 1st of each quarter, honestly.

• Violation / Fraud: Any attempt to hide bookings, falsify reporting, or otherwise reduce commission entitles LinkEase LLC to:

  1. Immediately cancel the Partner Agreement without refund.

  2. Remove the Partner’s Marker from the app.

  3. Pursue legal action if necessary.

4.3 Obligations of Partners

• Keep information up to date (hours, amenities, photos, offers).

• Ensure a safe, family-friendly environment.

• Respond in a reasonable amount of time to inquiries via the app or listed contact info.

• Honor any discounts, perks, or offers promised to Premium Members.

4.4 Obligations of LinkEase

• Provide map visibility and access to filtering features.

• Facilitate direct referrals to Partner’s website or booking platform.

• Support Partners with onboarding and feature use.

4.5 Payment & Refunds

• Fees for markers are billed as per the chosen plan.

• Commission-based fees are calculated on successful bookings.

• No refunds for completed bookings or consumed services unless stated otherwise.

4.6 Termination & Duration

• Each Marker is active for a fixed term of one (1) year from the date of purchase or activation.

• Partners are obligated to maintain their partnership for the full 1-year term and cannot terminate early.

• Marker visibility and associated Services are guaranteed for the full term, based on the chosen plan and payment.

• LinkEase may terminate a partnership before the end of the term only in cases of:

  1. Misuse or false representation

  2. Breach of these Terms

  3. Violation of commission or reporting rules (e.g., hiding bookings, fraud, or other attempts to reduce owed commissions)
     In such cases, LinkEase reserves the right to immediately remove the Marker and pursue legal remedies.

• No refunds will be issued for cancellations initiated by the Partner, except as required by law.

5. User Content & Feedback

• Partners and Users may submit photos, reviews, or comments.

• You grant LinkEase a license to display such content in the app or website.

• Content must be legal, non-offensive, and accurate.

6. Liability & Disclaimer

• LinkEase provides the platform but does not guarantee bookings or results.

• Partners are responsible for their own operations, services, and legal compliance.

• Users attend Partner locations at their own risk.

• Limitation of Liability: To the maximum extent permitted by law, LinkEase LLC shall not be liable for any indirect, incidental, consequential, or punitive damages arising from use of the platform or Partner services.

7. Privacy

• LinkEase collects only necessary data to operate the Services.

• Partners’ contact info is shared with Users only through the app.

8. Standard Legal Safeguards

• Severability: If any provision is invalid or unenforceable, the remainder of these Terms remain in full force.

• Entire Agreement: These Terms, including the Partner Agreement, constitute the entire agreement between Parties regarding LinkEase.

• Modification: LinkEase may update these Terms at any time; continued use constitutes acceptance.

• Force Majeure: LinkEase is not liable for delays or failures caused by events beyond its reasonable control.

• Indemnification: Partners agree to indemnify and hold harmless LinkEase LLC and its affiliates from any claims, damages, or liabilities arising from Partner activity.

9. Governing Law & Jurisdiction

• These Terms and the Partner Agreement are governed by the laws of Wyoming, USA.

• Any dispute shall be resolved in the courts of Wyoming.

10. Acceptance in Stripe Checkout

For Stripe Payment Links, the default checkbox: “I agree to the LinkEase Terms of Service” is considered legal acceptance of both the Terms of Service and Partner Agreement.
